TERMS OF SERVICE AGREEMENT
Please read this agreement carefully. By engaging Asure ("Company") for services, you ("Client") acknowledge and agree to the following terms.
Asure offers customized automation, CRM setup, digital marketing infrastructure, AI integrations, and related services tailored to the needs of service-based businesses. Specific deliverables will be outlined in your client proposal or service agreement.
All pricing is custom and based on the scope of work defined per client.
Note:
Once work begins, all payments are non-refundable unless otherwise agreed in writing.
Due to the custom nature of our work, all payments are final once the project begins. Our services involve setup, strategy, and integration work that cannot be “returned.” You acknowledge and accept this no-refund policy upon engagement.
By providing your contact information and engaging Asure, you consent to receive service-related updates and messages via email and SMS.
All communication complies with A2P 10DLC (Application-to-Person) messaging guidelines, The Campaign Registry standards, and relevant telecom regulations.
Client is responsible for:
Asure makes no guarantees regarding lead volume, conversions, or income, as these depend on numerous external factors.
All deliverables, tools, automations, templates, and systems provided by Asure remain the intellectual property of the Company unless otherwise stated.
Clients are granted a non-transferable, non-exclusive license to use these assets solely within their own business.
Both parties agree to keep all confidential information private. This includes login credentials, strategic data, client business details, and proprietary systems. Confidentiality survives the termination of this agreement.
Client uses Asure services at their own risk. Under no circumstance will Asure be liable for:
This agreement may be terminated by either party with written notice, subject to the following:
Client agrees not to publicly make statements intended to harm or damage the reputation of Asure, its team, or services. This includes public reviews, social media, or communications with third parties.
Client agrees to indemnify and hold harmless Asure, its affiliates, and contractors from any and all claims, damages, losses, or liabilities arising from the Client’s use of the services or violation of this agreement.
In the event of a dispute, both parties agree to:
All claims must be initiated within 100 days of the event. Arbitration will take place in Harris County, Texas, unless otherwise agreed in writing.
This Agreement is governed by the laws of the State of Texas, USA, without regard to its conflict of laws principles.
Asure may update these Terms from time to time. The current version will always be posted on asureai.com
